Terms & Conditions

Definations 

Channel Partner / Dealer
An individual or entity authorized by Kingston Construction to promote, refer, or facilitate the sale of plots on behalf of the Company.

Code of Ethics
The framework of principles that governs the professional behaviour, decision-making, and responsibilities of Channel Partners/Dealers.

Conduct
The expected manner of behaviour in professional interactions with clients, customers, stakeholders, and the Company.

Confidential Information
All sensitive details related to properties, clients, transactions, pricing, documentation, or internal Company processes that must not be disclosed without authorization.

Commission
The financial reward payable to a Plot Holder/Dealer upon successful referral or sale, subject to all terms and conditions.

Company
Kingston Construction, headquartered at 302 Kevalam Corner, Above Equity Hyundai, 150 ft. Ring Road, KKV Circle, Rajkot – 360005, Gujarat, India.

Dealer
A Plot Holder who also undertakes the role of promoting and generating sales or qualified leads for the Company.

Operational Costs
All expenses required for the efficient management and operation of a business including, but not limited to, salaries, utilities, office costs, legal and regulatory fees.

Plot
A specific parcel of land within a Kingston Construction project purchased by a Plot Holder.

Plot Holder
Any eligible individual or entity purchasing a plot from Kingston Construction.

Referral
A qualified lead generated by the Dealer/Plot Holder that results directly in a successful sale.

Secrecy
The obligation to preserve confidentiality and restrict disclosure of sensitive or proprietary information.

Social Media Promotion
The requirement for Plot Holders/Dealers to share company-related posts at least four times per month across approved social media platforms.

Terms & Conditions - For Plot Booking

  • All plans, amenities, and developmental projections are subject to government approvals and policy changes.

  • Marketing materials (website, brochures, visuals) are indicative and may evolve over time.

  • Plot areas displayed reflect gross measurement inclusive of common amenities and infrastructure.

  • Stamp duty, registration charges, utilities, legal charges, and applicable taxes must be borne by the purchaser.

  • Payments must be made exclusively in favour of KINGSTON CONSTRUCTION.

  • Communication sent to the mobile number provided will be considered delivered, even if registered under another person.

  • The Company reserves the right to revise plans, amenities, layouts, pricing, charges, or terms without prior notice where mandated by authorities.

  • EMI defaults (3 consecutive months or 3 instances in total) may result in cancellation and resale of the plot, with all prior payments forfeited.

  • Booking cancellations by purchasers will result in forfeiture of 50% of amount paid and applicable BPI deductions.

  • Refunds (if applicable) are processed only after resale of the plot.

  • Cheque bounce charges: ₹1,000 per instance.

  • All disputes relating to transactions shall fall under Rajkot jurisdiction, unless otherwise specified.

Terms & Conditions - Dealer

Direct Selling Model
Kingston Construction operates under a compliant direct-selling framework governed by the Consumer Protection (Direct Selling) Rules, 2021.
Plot Holders may be designated as Dealers for promotional or referral activities.

Responsibilities Toward the Company
Dealers must:

  • Generate leads and business opportunities proactively.

  • Assist in ensuring timely payments from buyers.

  • Report leads/sales transparently for commission validation.

  • Follow Company-approved pricing, offers, and communication standards.

  • Guide international clients on payments, forex, and regulatory compliance.

  • Coordinate global transactions strictly under Indian law.
     

Responsibilities Toward Clients
Dealers must:

  • Provide factual, complete, and honest information.

  • Engage professionally in communication and documentation.

  • Support clients throughout the documentation and post-sale process.

  • Assist NRI/international clients with FDI compliance and fund transfers.

Commission & Incentives

  • Commission is payable only upon realization of full payment for the plot.

  • International sales commissions are calculated on net receipts after currency conversion and banking fees.

  • Payments are generally processed within 10 working days post-confirmation.

  • No commission is payable for cancelled, defaulted, or incomplete sales.

  • Commission rates for future transactions may be revised by the Company.

  • Violation of policies or misrepresentation may result in withholding or forfeiture of commissions.

Code of Ethics

Kingston Construction expects every Dealer and Channel Partner to uphold the brand’s trust by maintaining honesty, integrity, and professionalism. Any form of misrepresentation, false promise, or unethical behaviour may result in termination or legal consequences.

Obligations of Direct Seller

Includes but is not limited to:

  • Completing required payments and adhering to Company guidelines.

  • Presenting opportunities accurately without exaggeration.

  • Maintaining professional conduct during prospect interactions.

  • Avoiding exploitation, coercion, or misleading representations.

  • Using only Company-approved communication materials.

Obligations of the Company

Kingston Construction commits to:

  • Transparent conduct and conflict-free interactions.

  • Providing timely updates on legal or policy changes.

  • Supporting Channel Partners with required guidance and documentation.

  • Acting responsibly in the best interest of its clients and partners.

Disclaimer

The Company is not responsible for any illegal, fraudulent, or unauthorized activities undertaken by Dealers. Misconduct that harms the brand may lead to damages or recovery actions against the responsible parties.

Intellectual Property & Brand Usage

All logos, trademarks, service marks, and content belong solely to Kingston Construction. Usage requires prior written approval.

Social Media Policy

Dealers must:

  • Use disclaimers when promoting.

  • Clearly state they are Channel Partners, not employees.

  • Avoid using Company trademarks in usernames or handles.

  • Share only approved content.

  • Avoid defamatory or misleading public communication.

  • Direct complaints only to official channels.

Non-Compete & Non-Solicitation

For two years post termination, Dealers shall not:

  • Engage in competing real-estate promotional activities.

  • Solicit Company clients, partners, or relationships.

  • Use confidential data for competing ventures.

Termination

The Company may terminate the Dealer Agreement for:

  • Misrepresentation

  • Overpricing

  • Unauthorized solicitation

  • Policy breaches

  • Damage to brand reputation

  • Terminated parties remain liable for outstanding obligations.

Dispute Resolution (RAJKOT JURISDICTION)

  • Disputes should first be resolved amicably.

  • If unresolved within 30 days, the matter will be referred to arbitration under the Arbitration and Conciliation Act, 1996.

  • Seat & Venue: Rajkot, Gujarat

  • Language: English

  • Arbitrator: Sole arbitrator mutually appointed

Courts in Rajkot will hold exclusive jurisdiction for arbitration-related matters.

Force Majeure

Covers natural disasters, war, strikes, government restrictions, pandemics, or any event beyond reasonable control.
If such events persist for more than 90 days, either party may terminate the agreement.
